By placing this order you are stating that you have read and are in accordance with the Software License Agreement acknowledged below. SOFTWARE LICENSE AGREEMENT        1. Transactions Upon reading this Agreement and paying the prescribed license fees, software support fees, and subject to the terms of this Agreement, Detroit Diesel Corporation (Detroit Diesel) will provide Licensee the Software and will update the Software by furnishing Licensee later versions thereof as they become available.                          2. Right to Use Licensee is hereby granted a non-exclusive, non-transferable right to use the Software for its own internal purposes at the location(s) indicated on the front of this form. The Software is owned by Detroit Diesel and is protected by United States copyright laws and international treaty provisions. Unless authorized in writing by DDC, Licensee may not (a) disclose, reproduce, publish, release, transfer, translate, copy or make available any portion of the Software or prepare or copy derivative or collective works based upon and/or containing any portion of the Software, (b) use the Software to offer timesharing, facilities management, data center, service bureau or any other data processing for third parties or (c) rent or lease the Software or sublicense or transfer the Software or Licensee rights under this Agreement Licensee may not reverse engineer, un-compile, or disassemble the Software.        3. Term Detroit Diesel may terminate this Agreement at any time upon 90 days advance written notice. This Agreement will automatically terminate if Licensee at any time ceases to be an authorized Detroit Diesel Distributor, Dealer or Service Location, as the case may be. Licensee may terminate this Agreement at any time. Upon termination of this Agreement, Licensee will immediately return to Detroit Diesel the Software and all material furnished to Licensee in connection with the Software, and will not retain any copies or derivatives thereof. DDC may terminate this license agreement if you fail to comply with the terms of this license agreement.        4. Limited Warranty Detroit Diesel will verify errors in the Software at its facilities and will respond to DDC-verified errors by issuing to Licensee corrected Software or other appropriate notice.        5. NO OTHER WARRANTIES DETROIT DIESEL DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE.        6. NO LIABILITY FOR CONSEQUENTIAL DAMAGES IN NO EVENT WILL DETROIT DIESEL BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF DETROIT DIESEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.        7.
